CREATOR EUPHORIA – TERMS OF SERVICE

Welcome to Creator Euphoria. These Terms of Service (“Terms” or “Agreement”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you,” “User,” or “Licensee”), and Euphoria Sounds LLC, doing business as Thomas Cawley (“Company,” “we,” “us,” or “our”), concerning your purchase and use of digital products, assets, and services available through creatoreuphoria.com (the “Website”).

By purchasing any product from the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with all of these Terms, you are expressly prohibited from purchasing or using our products, and you must discontinue use immediately.

1. Digital Products & Delivery

All products sold on the Website are strictly digital downloads (e.g., ready-to-use emotes, sub badges, stream assets, and original character designs). No physical goods will be shipped or delivered.

• Delivery Mechanism: Upon verification and processing of payment, a digital download link will be delivered instantly or within twenty-four (24) hours to the email address provided at checkout.

• User Responsibilities: The Licensee bears sole responsibility for downloading and securely archiving all purchased files immediately upon receipt. Download links may expire over time. The Company is not responsible for undelivered links resulting from typographical or clerical errors in the email address provided by the user.

• Support Infrastructure: In the event of a critical technical failure, file corruption, or premature link expiration, the Licensee must contact support@creatoreuphoria.com for remediation.

2. No-Refund Policy & Limited Exceptions

Due to the immediate, non-tangible, and irrevocable nature of digital goods, ALL SALES ARE FINAL. The Company does not offer refunds, exchanges, or store credits once a purchase transaction is finalized and the asset download link has been dispatched.

2.1 Permitted Exceptions

Refund or replacement requests will be evaluated strictly on a case-by-case basis, limited to the following explicit circumstances:

• The delivered digital file is corrupted, unopenable, or defective upon delivery. In such cases, the Company will replace the file with a functional version of the original asset. No product exchanges or refunds will be issued.

• The wrong digital asset was delivered due to an administrative or backend system error by the Website.

• A verifiable technical or payment gateway error resulted in a duplicate charge for the exact same transaction.

2.2 Resolution Window

To claim an exception under Section 2.1, you must contact support@creatoreuphoria.com within seven (7) calendar days of the transaction date, providing your valid order number and comprehensive proof of the defect. Refund requests based on a change of mind, perceived optimization issues, incompatibility with unauthorized third-party software, or a failure to read product specifications prior to purchase will be summarily denied.

3. Intellectual Property License Agreement

3a. Grant of Limited License

Subject to full payment and absolute compliance with these Terms, the Company grants the Licensee a non-exclusive, non-transferable, revocable, worldwide, personal license to utilize the purchased digital assets for the following permitted activities:

• Display on personal, non-commercial live-streaming channels (including but not limited to Twitch, YouTube, and Kick).

• Integration as subscriber emotes, channel badges, or stream overlays on authorized live-streaming or chat platforms (e.g., Discord).

• Display within live-stream broadcasts and pre-recorded, edited video content.

• Minor optimization adjustments (e.g., standard resizing or color optimization) solely to conform to specific technical upload criteria required by host platforms.

3b. Restrictions on Use

Any use of the digital assets not expressly authorized in Section 3a is strictly prohibited. Except as otherwise agreed in explicit writing by the Company, the Licensee shall not:

• Sublicense, resell, redistribute, rent, lease, or assign the digital assets, in whole or in part, to any third party, whether for financial gain or free of charge.

• Incorporate the assets into products intended for commercial sale, retail, or distribution (e.g., commercial merchandise, physical apparel, retail asset packs, or stream packages sold to third parties).

• Claim ownership, copyright, patent rights, or original authorship of the artwork, character designs, or assets.

• Utilize the assets or files for corporate branding, corporate logos, trademarks, or commercial marketing and advertising campaigns for an enterprise or business entity.

• Upload, submit, or list the files on any stock imagery website, digital asset marketplace, Non-Fungible Token (NFT) platform, or peer-to-peer resale marketplace.

• Artificial Intelligence (AI) Training Restrictions: Input, upload, or utilize any artwork, files, or assets from the Company to train, fine-tune, test, validate, or develop artificial intelligence, machine learning, deep learning, neural networks, or generative image models of any kind.

License Limitation: One (1) purchase constitutes one (1) limited personal license restricted to one (1) unique creator identity or channel. Multi-user sharing, redistribution, group purchasing, or license transfers are strictly prohibited.

3c. Commercial Licensing

Parties requiring broader corporate deployment, commercial retail rights, merchandising permissions, or multi-channel distribution licenses must secure a separate, written commercial contract. Inquiries may be directed to licensing@creatoreuphoria.com.

4. Third-Party Intellectual Property Disclaimer (Fan Art)

Certain digital products made available on the Website constitute artistic representations inspired by characters, franchises, or intellectual properties owned by third-party entities (“Third-Party IP”). Such products are completely unofficial, transformative works of fan art.

• No Affiliation: The Company is not affiliated with, endorsed by, sponsored by, or partnered with any game developers, film studios, publishers, or entertainment entities associated with Third-Party IP.

• No Warranty of Legality: The Company makes no representation or warranty regarding the legality or permissibility of utilizing fan art assets across all jurisdictions or third-party streaming platforms.

• Takedown and Removal Provisions: If a copyright holder issues a valid Digital Millennium Copyright Act (DMCA) notice or equivalent legal takedown request, the Company reserves the right to remove the affected listing instantly and without notice. Prior purchases of removed items do not qualify for a refund or restitution.

• Compliance Responsibility: It is the sole responsibility of the Licensee to review, understand, and comply with the intellectual property guidelines and community standards of the respective streaming platforms (e.g., Twitch, YouTube) where they intend to deploy these assets.

5. Ownership & Intellectual Property Rights

All original artwork, visual assets, character designs, source files, copyrights, and intellectual property rights generated by Creator Euphoria remain exclusively vested in Euphoria Sounds LLC. The transaction executed on the Website represents the sale of a non-exclusive license to use specific digital assets, and does not transfer title, ownership, or underlying copyright to the Licensee.

The Licensee is strictly barred from registering the artwork, or any derivative works thereof, with any trademark, patent, or copyright office globally. Removal, modification, or obscuring of embedded creator credits or copyright signifiers is strictly prohibited.

6. Human-Author Attribution & Likeness Disclaimer

• Human-Made Guarantee: The Company affirms that all original digital assets offered on the Website are handcrafted and authored exclusively by human artists. No automated generative artificial intelligence tools are used in the creative production pipeline.

• Coincidental Likeness: Any resemblance between the character designs or artwork and actual living or deceased individuals, real-world public entities, or existing persons is entirely coincidental, unintentional, and unintended.

7. Fraudulent Chargebacks & Payment Disputes

The initiation of a payment chargeback or transactional dispute with a bank, credit card processor, or payment gateway after receiving access to the digital assets constitutes a material breach of this Agreement and may be treated as unlawful conversion or theft of digital services. The Company reserves the right to aggressively pursue recovery of funds, collect administrative processing fees, report fraudulent activity to major risk databases, and demand the immediate suspension of the user’s accounts on relevant streaming or community platforms.

8. Product Availability & Pricing Modifiability

The Company reserves the right, at its sole discretion, to modify, update, restock, or retire any product listing or digital asset pack at any time without prior notification or liability. Prices for all products are subject to change. The purchase price is locked only at the exact time of transaction finalization.

9. Content Creation Clearances & Assurances

For original assets created entirely by Euphoria Sounds LLC (excluding third-party fan art detailed in Section 4), the Company provides the following protections:

• No Infringement Claims: The Company will not issue DMCA takedowns, copyright strikes, or formal infringement complaints against Licensees utilizing the assets in strict accordance with Section 3a.

• Monetization Clearance: Licensees are authorized to fully monetize their broadcasting or video content (including ad revenue, viewer subscriptions, direct donations, and content sponsorships) while utilizing our original assets, without any obligation to pay ongoing royalties or licensing fees to the Company.

10. Prohibited Platform Uses & Termination of License

The Licensee agrees not to use any digital assets from the Website within content, channels, or communities that:

• Violate the Terms of Service or Community Guidelines of the host platform (e.g., Twitch, YouTube, Kick).

• Depict, encourage, or facilitate hate speech, targeted harassment, defamation, or exploitation of any individual or group.

• Display sexually explicit or Not-Safe-For-Work (NSFW) material without adequate, platform-mandated age-gating and access controls.

• Promote, organize, or incentivize illegal activities under applicable local, state, federal, or international law.

The Company reserves the unilateral right to revoke and terminate any user license immediately if it determines, in its sole discretion, that the assets are being deployed in violation of this Section, without any obligation to refund purchase fees.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Euphoria Sounds LLC, its officers, directors, employees, and agents shall not be liable to you or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages—including lost profits, lost revenue, loss of data, platform bans, channel suspensions, account terminations, or third-party intellectual property disputes—arising out of your use, or inability to use, the digital assets, even if the Company has been advised of the possibility of such damages.

Notwithstanding anything to the contrary contained herein, our total collective liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the net amount paid by you to the Company for the specific digital product under dispute.

12. Amendments to Terms

The Company reserves the right to modify, amend, or rewrite these Terms of Service at any time. All updates will be published directly to this page and will take effect immediately upon posting. Your continued use of the Website or retention of the licensed assets following any adjustments constitutes your explicit acceptance of the revised Terms.

13. Governing Law & Jurisdiction

These Terms, along with your contractual relationship with the Company, shall be governed by, construed, and enforced in accordance with the laws of the State of New York, without regard to conflict of law principles. Any legal action, suit, or proceeding arising out of or relating to this Agreement shall be instituted exclusively in the state or federal courts located in New York County, New York.
